The new year 2026 has started, the MCA has prepared its report on the previous year achievement.
On September 4, 2025, the government amended the Companies (Compromises, Arrangements and Amalgamations) Rules, 2016 per Union Budget 2025–26, expanding fast-track mergers under Section 233 of the Companies Act, 2013.
Expanded Fast-Track Scope
New eligible mergers include:
- Two or more unlisted companies (non-Section 8) above thresholds.
- Holding-subsidiary pairs (transferor unlisted).
- Same holding’s subsidiaries (transferor unlisted).
These cut time and costs for restructurings.
Ease of Doing Business Wins
Ministry of Corporate Affairs (MCA) drove compliance ease:
- Notified Companies Act amendments for transparency.
- Issued circulars for MCA V3 transition, fee waivers, VC AGMs.
- Raised small company limits: ₹10 Cr capital, ₹100 Cr turnover.
- Simplified govt company strike-offs via indemnity bonds.
- Shifted director KYC to triennial from annual (effective Mar 31, 2026).
IEPFA Advances
August 2025 integrated portal/call center sped claims: 27,231 approvals YTD, 1-2 day transfers. New IEPF-5/EVR auto-fetches data.
